RE: Integration of Smiths Medical Canada Ltd. into ICU Medical Canada Inc. – Effective August 2, 2024

Note: Integration applies to US and Canada only.

In January 2022, ICU Medical, Inc. acquired Smiths Medical to further strengthen our leadership in infusion therapy and additional medical technologies. Since the acquisition, we have been focused on various integration activities. Today, ICU Medical Canada Inc. is pleased to announce that the integration of Smiths Medical Canada Ltd. order processing into our system is scheduled for August 2, 2024. Following such date and after a brief blackout period, ICU Medical Canada Inc. shall invoice and process all previously handled orders by Smiths Medical Canada Ltd. We sincerely appreciate your patience throughout this process, as we have been diligently working to ensure a seamless transition with minimal disruption to your experience.

As we approach the integration date, we want to inform you that Smiths Medical Canada Ltd. ordering system will be temporarily offline during a blackout period which we expect to be approximately 5 days. Rest assured; we will provide you with additional details in the upcoming communications to minimize any inconvenience.

The blackout period mentioned earlier will not affect end-user customers who purchase consumable products, as these will remain accessible through our authorized distributors. However, please note during this blackout period, there will be a temporary suspension in the processing and shipment of any capital equipment, parts and accessories from our facility in Markham, Ontario, Canada.

Furthermore, please note that we are committed to keeping you informed every step of the way. Accordingly, you should anticipate forthcoming changes, including product ordering and rebranding, product code alignment, updates to bank remittance details, tax account information, as well as any adjustments in procurement and contract details as needed.
